1. Acceptance of Terms

By accessing and using the services of BestWebs ("Company", "we", "us", "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

BestWebs provides web development, design, and digital solutions including but not limited to:

• Website design and development
• E-commerce solutions
• Custom web applications
• Mobile-responsive design
• SEO optimization
• Website maintenance and hosting
• Digital marketing services

3. Project Scope and Deliverables

The scope of work and deliverables will be defined in the project proposal or agreement. Any changes to the scope must be agreed upon in writing and may result in additional charges. The Company reserves the right to refuse work that falls outside the agreed scope.

4. Client Responsibilities

The client agrees to:

• Provide timely feedback and approvals
• Supply necessary content, images, and materials
• Ensure all provided content is legal and does not infringe on third-party rights
• Maintain backups of their data
• Provide access to necessary accounts and systems when required

5. Intellectual Property

Upon full payment, the client will own the final deliverables. However, the Company retains the right to use the work for portfolio and marketing purposes. The Company retains ownership of all proprietary tools, frameworks, and methodologies used in the project.

1. Payment Schedule

Payment terms will be specified in the project agreement. Typically, a 50% deposit is required to commence work, with the remaining balance due upon project completion and before final delivery.

2. No Refund Policy

ALL PAYMENTS ARE NON-REFUNDABLE. Once payment is made and work has commenced, no refunds will be provided under any circumstances, including but not limited to:

• Project cancellation by the client
• Change of mind or requirements
• Dissatisfaction with the work (subject to revision policy)
• Delays in project completion
• Technical issues or compatibility problems

3. Late Payment Interest

Late Payment Charges: Any payment not received within 7 days of the due date will incur a late payment interest of 2% per month (24% annually) on the outstanding amount. This interest will compound monthly until the full payment is received.

4. Payment Methods

We accept payments through bank transfers, online payment gateways, and other methods as specified in the project agreement. All payments must be made in Indian Rupees (INR) unless otherwise agreed.

5. Project Suspension

The Company reserves the right to suspend work on any project where payments are overdue. Work will resume only after all outstanding payments, including late payment interest, are received.

1. No Liability Clause

THE COMPANY SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from third-party actions or services
• Security breaches or data loss
• Website downtime or technical issues
• Compatibility issues with browsers or devices
• SEO ranking changes or search engine penalties
• Any financial losses incurred by the client

2. Limitation of Liability

In no event shall the Company's total liability exceed the amount paid by the client for the specific service in question. This limitation applies to all claims, whether based on contract, tort, negligence, or any other legal theory.

3. Third-Party Services

The Company is not responsible for the performance, reliability, or availability of any third-party services, including hosting providers, domain registrars, payment gateways, or any other external services used in the project.

4. Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

5. Indemnification

The client agrees to indemnify and hold harmless the Company from any claims, damages, or expenses arising from the client's use of the services or violation of these terms.

6. Governing Law and Jurisdiction

JURISDICTION: All disputes, claims, and legal proceedings arising from or relating to these terms and conditions, the services provided, or any agreement between the parties shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

These terms and conditions shall be governed by and construed in accordance with the laws of India. The parties hereby irrevocably submit to the exclusive jurisdiction of the courts in Delhi, India, and waive any objection to venue or forum non conveniens. Any legal action or proceeding relating to these terms must be instituted in the courts of Delhi, India.
